Agreement and age requirement

nudge. is owned and operated by Kowalczyk Ventures LLC, a New Jersey limited liability company ("we," "us," or "our"). By downloading, installing, or using nudge. ("the app"), you agree to these Terms of Use. If you do not agree, do not use the app.

nudge. is intended for users 18 years of age or older. By creating an account, you affirmatively confirm that you are at least 18 years old. If you are under 18, you may not use the app. We reserve the right to terminate accounts where we have reason to believe the user is under 18.

Description of service

nudge. is a weekly real-world challenge app. Each Monday it gives you one challenge, and you have until Sunday night to do it. You can share what happened with friends. The app includes social features (posts, photos, tags, reactions, vouches, friend connections), optional team challenges for organizations, and sponsored challenges from brands. nudge. is free to use.

Challenge participation: assumption of risk and liability waiver

nudge. provides challenges for entertainment and personal development purposes only. You participate in all challenges entirely at your own risk. By using the app, you acknowledge and agree that:

• Every challenge is optional, including team challenges. Skip anything that feels unsafe, uncomfortable, or wrong for you. Skipping only affects your weeks-in-a-row count.
• Challenges are suggestions, not instructions. You are responsible for determining whether any challenge is safe and appropriate for your personal circumstances, physical condition, location, and environment.
• Kowalczyk Ventures LLC (the operator of nudge.) and its members, employees, and affiliates are not responsible for any injury, harm, loss, damage, or negative consequence (physical, emotional, financial, or otherwise) arising from your decision to attempt or complete any challenge.
• You will use your own judgment before attempting any challenge and will not do anything that puts yourself or others at risk.
• No challenge in the app should be interpreted as professional advice of any kind, including medical, legal, financial, or safety advice.

This waiver of liability is a material condition of your use of the app. If you do not agree to assume full responsibility for your challenge participation, do not use the app.

Account responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate information when creating your account
• Not share your account with others
• Notify us immediately if you suspect unauthorized access to your account
• Be at least 18 years of age

User-generated content

You may submit posts, stories, photos, and other content ("User Content") through the app. By submitting User Content, you grant nudge. a non-exclusive, worldwide, royalty-free license to use, store, display, and moderate that content solely for the purpose of operating the app.

Featuring on social media. When you post a photo to everyone, you can tick a box that lets nudge. feature that photo and its story on nudge.'s own Facebook and Instagram accounts. We only do this if you tick the box for that post, we review every photo before it is used, and we may show your username with it. You can ask us to remove a featured post at any time by writing to mike@nudgeme.today, and we will take it down from our accounts.

You represent and warrant that: (a) you own or have the right to share any content you submit; (b) your content does not violate the rights of any third party; and (c) your content complies with these terms.

We are not responsible for User Content posted by other users. Under Section 230 of the Communications Decency Act, nudge. is not the publisher or speaker of User Content and is not liable for it. However, we reserve the right to remove any content at our discretion.

Content standards: no tolerance policy

nudge. has a zero-tolerance policy for objectionable content and abusive behavior. You agree not to post or transmit content that:

• Is hateful, discriminatory, or promotes violence against any person or group
• Is sexually explicit or pornographic
• Harasses, threatens, or intimidates other users
• Contains personal information of others without their consent
• Impersonates any person or entity
• Violates any applicable law or regulation
• Promotes illegal activities
• Is spam or deceptive

We use automated AI systems and human review to moderate content. Violations may result in content removal and account suspension or termination without notice.

Reporting and blocking

Users can flag posts for review using the flag icon on any post. You can block users you find abusive. We commit to reviewing flagged content within 24 hours and taking appropriate action, which may include removing content and suspending or banning the responsible account.

Teams

nudge. Teams is an optional feature for organizations. You join a team with an invite code. Team leaders can send their own team challenges and can see team participation, members' streaks, and when members were last active. If your organization uses nudge. Teams, you acknowledge that your participation within the team, your streak, and when you were last active are visible to your team leaders. Your personal posts are not shared with team leaders through the team.

If you are a team owner, you agree to use member data only for the purpose of managing your team within nudge., and not to use it for any other purpose or share it with third parties.

Leaderboard and public visibility

By using nudge., you acknowledge that your username and profile are visible to other users, and that your posts are visible according to the visibility you choose for each one (your friends, or everyone). If you have questions about what others can see, contact us at mike@nudgeme.today.

Intellectual property

The nudge. app, its design, and all content created by us (including challenge text, branding, and interface elements) are owned by Kowalczyk Ventures LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Disclaimers

nudge. is provided "as is" without warranties of any kind, express or implied. We do not guarantee that the app will be available at all times, error-free, or free of security vulnerabilities. We make no warranty that the app will meet your requirements or that any errors will be corrected.

Limitation of liability

To the maximum extent permitted by applicable law, Kowalczyk Ventures LLC and its members, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, exemplary, or consequential damages arising from your use of or inability to use the app, including but not limited to loss of data, loss of revenue, loss of goodwill, or personal injury, even if advised of the possibility of such damages.

Our total liability to you for any claim arising from these terms or your use of the app shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

Dispute resolution and arbitration

Any dispute, controversy, or claim arising out of or relating to these terms or the app that cannot be resolved informally shall be settled by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, rather than in court. You waive any right to a jury trial or to participate in a class action lawsuit. The arbitration will take place in New Jersey. Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property violations.

You may opt out of this arbitration agreement by emailing mike@nudgeme.today within 30 days of first accepting these terms.

Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these terms or is harmful to other users, us, or third parties. You may delete your account at any time from within the app under Settings.

Governing law

These terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in New Jersey.

Changes to these terms

We may update these terms from time to time. We will notify users of material changes through the app. Your continued use of nudge. after changes are posted constitutes acceptance of the updated terms. If you do not agree to updated terms, you must stop using the app and may delete your account.
